The Short Version.

Effective 5 October 2026

These Terms & Conditions govern the use of this website and the commercial relationship between Ilan Globe Trade Pvt. Ltd., operating as Antaara Foods ("we", "us" or "Antaara"), and any business that sends us an enquiry, asks us for a sample or places an order with us, wherever that business is based.

By using our website or trading with us, you accept these terms. If you do not agree, please do not use the website or send an enquiry. For each order, the proforma invoice or sales contract signed and stamped by both parties takes precedence over these general terms wherever the two differ.

About This Website

What this website is and is not

This website is owned and operated by Ilan Globe Trade Pvt. Ltd., a private limited company based in Surat, India (CIN: U74102GJ2024PTC147929; IEC: AAHCI4902P), which trades under the brand name Antaara.

It is our digital catalogue and the place where buyers in India and around the world can send us their enquiries. It is not an online shop, so no order can be placed, paid for or completed through this website.

Product descriptions, grades, specifications and photographs on this website are a general guide. Agricultural goods vary naturally between seasons, regions, harvests and grades, so the goods you receive may differ in look, colour, size or packing from what you see here, even when they fully meet the agreed specification. The specification that applies to your order is always the one written in your proforma invoice, not what this website shows.

The Binding Rule

An enquiry, quotation or discussion does not create a binding order. An order becomes binding only when the final terms are agreed and the proforma invoice or sales contract is signed and stamped by both parties.

Getting To An Order

How A Deal Is Made.

01

Enquiry & Quotation Process

How an order comes together

Every order moves through the same simple steps:

  • Enquiry: Send us your enquiry through this website or by email, with the product, grade, quantity, packing, destination port or city and the month in which you would like your goods delivered.
  • Quotation: We reply within 24 to 48 working hours (IST) with the price, Incoterm, payment terms and packing for your order. Each quotation shows its exact validity, usually 2 to 5 days depending on the product, as agricultural prices can change quickly with market conditions and crop arrivals.
  • Sample (optional): We send free samples of our standard grades, from 100 g to 1 kg each, for up to three products per request, so you can check the quality before you order. They leave within 5 to 7 working days, and you pay the courier at actual cost, which we adjust against your first order of at least one 20 ft container.
  • Proforma invoice: Once the terms are agreed, we send you a proforma invoice that sets out the product, quantity, price, payment terms and all other agreed details. We sign and stamp it and send you a scanned copy by email, and you return it to us the same way, signed and stamped by you.
  • Payment & production: We start sourcing and packing your goods as soon as your advance reaches us. Once everything is packed and ready, you pay the balance and we arrange the shipment.
  • Shipment: We hand over your goods on the agreed terms, with loading photos on request.

Order size: Your quotation shows the minimum quantity for each product. When you order a container, you can mix several products, as long as each one is at least 1 tonne or 10% of the load, whichever is higher.

02

Pricing & Currency

How prices are quoted

For buyers in India, we quote and invoice in Indian rupees (INR), with GST as applicable. Buyers outside India can choose from USD, EUR, GBP, AED, SAR, QAR, KWD, BHD, OMR, CAD, AUD, SGD, JPY and CHF, or ask us about another currency. The agreed currency is always written in your proforma invoice.

Each export price follows the Incoterm named in your quotation, which may be EXW, FCA, FOB or, on request, CFR. For orders within India, your quotation sets out the delivery terms instead.

Prices do not include import duties, taxes, port charges at destination, demurrage, detention or any other cost that arises at your port or in your country, and these remain yours to pay in full.

03

Incoterms 2020

Internationally recognised trade terms

Every export shipment follows Incoterms 2020, published by the International Chamber of Commerce, and the term that applies to your order is named in your proforma invoice. We offer these terms:

  • EXW (Ex Works): We pack and mark the goods, ready for you to collect from the packing warehouse. From there, the risk is yours, and you arrange loading, transport, export clearance, sea freight and insurance.
  • FCA (Free Carrier): We pack and mark the goods, clear them for export and hand them to your chosen carrier at the place you name. From that point the risk is yours, and so are the freight and insurance.
  • FOB (Free on Board): We pack, mark, clear for export, carry the goods to the Indian port and load them on the ship. From that moment the risk is yours, and so are the sea freight and the insurance.
  • CFR (Cost & Freight): Everything in FOB, and on request we also book the sea freight to your port and add its cost to your price. The risk still passes to you on loading in India, so you arrange the insurance.

We do not offer CIF, CPT or CIP, because marine insurance and any transport beyond your destination port always remain with you. For more background on every Incoterm, see our Trade Terms & Incoterms guide.

04

Payment Terms

How and when payment is made

Every order is paid in two parts, and the advance always comes first:

  • Standard packing — 50% and 50%: With our standard packing, the order value is split into two equal payments, the first when your order becomes binding and the second before shipment.
  • Custom packing or private label — 60% and 40%: Bags and labels printed with your design cannot be used for anyone else, so you pay 60% when your order becomes binding and the other 40% before shipment.
  • Letter of Credit (L/C): You may request payment of the balance by L/C, subject to our approval. The advance is always paid first by bank transfer. The L/C must be irrevocable and payable at sight, issued by a first-class international bank and confirmed by a bank that we nominate or, if none is named, by a bank in India we accept. Please send us the draft for approval before it is opened. All L/C charges, including confirmation charges, are paid by you, and we may decline any L/C that does not suit the order.

The payment terms for your order are always shown on your proforma invoice. When one order includes both standard and custom packing, the higher advance of 60% covers the entire order.

We never sell on credit, and this applies to every order without exception. The only alternative to paying the balance by bank transfer is an approved L/C, where we have agreed to it in advance.

Our bank details are shown on every proforma invoice issued on our company letterhead, and we will never ask you to send payment to a different account. If anyone asks you to change these details, please call us before transferring funds. This simple phone check helps protect your business and your payment from fraud.

For more background, see our Payment Terms guide.

05

Quality, Inspection & Specification

What you are buying, and how it is checked

Every order is packed to the specification in your proforma invoice, covering points such as moisture, foreign matter, broken grains and colour. Before shipment, your goods can be checked in three ways:

  • Our quality check: We carry out our own full quality check on every order, included in the price.
  • Third-party inspection: For an independent check, you can appoint SGS, Bureau Veritas, Intertek, Cotecna or any other agency you trust, and you arrange and pay for the inspection yourself.
  • Buyer's representative visit: You or your inspection team are welcome to inspect your goods at the packing warehouse before loading. Please let us know in advance so we can arrange your visit.

Your inspection report is final for quality and quantity. If it shows that a lot does not meet the agreed specification, we rework or replace it at our cost before shipment. If you choose not to have the goods inspected, you accept them as packed. Either way, damage at sea is claimed through your marine insurance.

We keep a sealed sample from every lot we ship until you open the goods, and for up to 7 days after that. Your feedback after delivery is always welcome, as it helps us make your next order even better.

For more background, see our Pre-Shipment Inspection guide.

06

Packaging & Marking

How your goods are presented

Your quotation states the standard packing for each product. Private label and custom packing, such as bags printed with your brand, labels in your language or a special loading plan, are available on request. We quote the extra cost when you ask, so you always know the full price before you order.

Please tell us the labelling, language and packing material rules of your market at the enquiry stage, so that your goods are packed and marked to meet them from the start, without costly changes later.

07

Documents

Paperwork for every shipment

Every export shipment comes with the standard documents:

  • Commercial Invoice
  • Packing List
  • Bill of Lading, or Air Waybill for air freight
  • Certificate of Origin
  • Phytosanitary Certificate, where your market needs it
  • Fumigation Certificate, where your market needs it
  • Inspection Certificate, where an inspection is carried out

For orders within India, we issue a GST tax invoice and, where required, an e-way bill.

If your market needs other certificates, such as halal, kosher, organic or a health certificate, please let us know at the enquiry stage. We arrange them for you, and their cost is shown in your quote.

The Bill of Lading is issued once your goods are loaded on the ship. We send you PDF copies of all documents as standard, so please tell us at order stage which documents you need and whether you also need the originals.

We courier the original documents within 24 to 48 hours of receiving the Bill of Lading, to your bank where the balance is paid by L/C, or otherwise to you on request once your balance payment has reached us. We pay the courier cost, and if you prefer a particular courier, please tell us before shipment.

On short sea routes, where the cargo may arrive before the documents, you can choose a telex release of the Bill of Lading instead, at your cost, so that you can collect your goods without waiting for the originals.

For more background, see our Documents & Clearance guide.

08

Delivery & Lead Time

When you can expect your goods

The lead time for your order is shown on your proforma invoice, and it begins only after your order has become binding and your advance payment has been received in full in our bank account.

Quantity tolerance: The exact weight that fits in a container depends on the product and its packing, so the quantity we load may be up to 5% more or less than the quantity in your proforma invoice. You pay only for the quantity actually loaded, and any difference is adjusted in your final commercial invoice.

The sea transit time to your port depends on the shipping line and route, and we can share typical times on request. Air freight and refrigerated (reefer) containers are also available, at your cost.

Delays caused by the shipping line, the port or customs, such as port congestion, a vessel cancellation or a customs hold, are not a breach of contract, and we will keep you informed of any expected delay.

When Things Change

Cancelling, Delays, Ownership.

09

Cancellation, Buyer Default & Recovery of Costs

Once your order is binding, we plan sourcing and packing around it, so cancelling it will always involve a cost. The rules below set out that cost clearly and fairly, so that you always know where you stand.

Cancellation charge: A cancellation charge of 10% of the total order value applies to any cancellation of a binding order, whenever it is made. It is a genuine estimate of our handling cost, the search for a new buyer and the capacity we set aside for you, and it never applies when we fail to supply.

If you cancel before any goods have been sourced or packed for you, we refund the rest of your advance after deducting the cancellation charge and any cost we have already paid out on your behalf for this order.

If you cancel after goods have been sourced or packed for you, or after they have been marked, bagged or labelled, your advance is not refunded, as the work already done on your order cannot be undone.

If you do not pay the balance, or do not take delivery, after we have told you in writing that the goods are ready, the risk and the cost of holding the goods pass to you from the date of that notice, even though the goods are still at the packing warehouse. We hold the goods for up to 15 days from that date.

If the balance is not received within those 15 days, we may treat the order as cancelled and sell the goods to another buyer, using the money we receive from that sale against the amount you owe us.

If the goods are perishable or begin to lose quality, we may sell them sooner to protect their value, because the 15 days are a maximum holding period and not a duty to hold goods while they spoil.

Your responsibility is not limited to the advance. Where our actual loss is greater than your advance, you remain liable for the difference. On top of the cancellation charge, we may also recover our reasonable, documented and direct costs and losses arising from your order, which may include:

  • the difference between your agreed price and the price we obtain on resale;
  • storage and warehousing, including any additional or overflow storage we have to arrange;
  • transport and re-transport of the goods, such as into storage or to a new buyer;
  • demurrage, detention, and container or port charges caused by the delay;
  • financing or interest on the money tied up in your order;
  • laboratory, testing, fumigation, inspection and certification charges incurred for your order;
  • re-handling, re-bagging, re-labelling or re-testing needed to sell the goods to another buyer;
  • extended insurance for as long as the goods remain with us;
  • bank, documentary or letter of credit charges wasted on the cancelled order; and
  • loss in value from spoilage or deterioration of the goods during the delay.

We will act reasonably to keep any loss as low as we sensibly can, we will never claim the same loss twice, and we will give you a written statement of every amount we claim. We apply your advance first to the cancellation charge and to these costs, and any shortfall that remains is payable by you in full.

This section does not apply where your failure or delay is caused by a force majeure event. In that case, the Force Majeure section below applies instead, including its rule on goods that spoil.

Any change to the specification, packing or destination of a binding order needs our agreement in writing, and it may change both the price and the lead time shown on your proforma invoice.

10

If We Cannot Supply

A binding order binds us as well as you. Once we receive your advance, we commit to supplying the agreed goods at the agreed price, within the agreed time and to the specification in your proforma invoice.

If we cannot supply for a reason within our control, such as a delay in sourcing or packing, we will tell you as soon as we know, explain the reason clearly and offer you one of the following options:

  • a revised delivery date for you to accept;
  • a suitable substitute grade of equivalent quality at the same price; or
  • if neither works for you, a full refund of your advance.

A rise in market rates after your order is binding is our risk, not yours. The price in your proforma invoice stays fixed until shipment, and we will never cancel your order or ask you for more because our own buying costs have gone up. That is also why each quotation we send is valid for only a short period.

Where the cause is beyond our reasonable control, the Force Majeure section applies instead.

Our responsibility is limited. Where we fail to supply, our responsibility is to refund your advance and any other amount you have actually paid us for the goods not delivered. As the Limitation of Liability section explains, we are not liable for indirect or consequential losses, such as your lost onward profit.

Refund charges: When we refund you, we pay the bank charges for sending it. If you also ask us to repay a bank charge you have paid, please first send us the original receipt or bank advice showing it.

11

Force Majeure

Events beyond our control

Neither party is liable for failure or delay caused by events beyond its reasonable control, such as natural disasters, fire, flood, drought, earthquake, war, terrorism, riot, pandemic, strike, port closure, vessel non-availability, a utility failure or government action, including an export ban, import ban or tariff change.

If such an event stops either party from performing for more than 21 days, either party may end the contract by written notice, and you then receive your advance back, less the actual costs incurred up to that date.

If goods held during such a delay begin to spoil, we may sell them to limit the loss, and that loss is borne by you.

12

Retention of Title

Goods remain our property until we have received payment in full, including any bank charges.

Risk passes to you under the agreed Incoterm, but ownership does not. Until we are paid in full, you must keep the goods identifiable, keep them insured, and not pledge them as security to anyone.

If payment is not made when it is due, we may ask for the goods back at your cost or, if you have already resold them, claim the money you received for them, up to the amount you still owe us.

Where You Stand

Limits And Rights.

13

Limitation of Liability

The maximum extent of our financial responsibility

Our total liability for any claim relating to an order is limited to the invoice value of the specific shipment in question, whatever the claim is based on. We are not liable for any of the following:

  • Indirect, consequential or punitive losses, such as lost profits, lost sales or damage to your reputation
  • Loss caused by your failure to clear customs, get import permits or follow local rules
  • Loss caused by a force majeure event
  • Loss arising from your onward use, processing, repacking or resale of the goods after delivery

Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded or limited under Indian law.

You cover us for claims caused by you. If a third party or an authority makes a claim against us, our directors, officers or staff because of your breach of these terms, your instructions to us, or the way you handle, label or resell the goods after delivery, you will cover the resulting loss, including reasonable legal costs and any amount paid to settle the claim, unless the claim is caused by our own breach or negligence.

14

You contract only with Ilan Globe Trade Pvt. Ltd., a private limited company registered in India under CIN: U74102GJ2024PTC147929. The company alone carries every obligation under these terms.

No director, officer, shareholder, employee, agent or representative accepts any personal liability to you in connection with these terms, any contract formed under them, or any transaction with us. Any claim must be brought against the company alone, to the fullest extent permitted by applicable law.

15

16

Confidentiality

Protecting commercial information

Both parties agree to keep all commercial and technical information shared for an enquiry or order strictly confidential, and not to disclose it to anyone else without written consent, except where:

  • Disclosure is required by applicable law or by a court of competent jurisdiction
  • The information was already public before disclosure
  • Disclosure is to lawyers, accountants or auditors who are bound by confidentiality
  • Disclosure is to banks, freight forwarders, customs agents or service providers handling the enquiry or order

We do not pay or accept bribes, kickbacks or facilitation payments of any kind, directly or through anyone who acts on our behalf.

Governing Law & Dispute Resolution

Whose law applies and how disputes are resolved

These Terms & Conditions, and any contract formed under them, are governed by and interpreted under the laws of India, wherever you are based and wherever your goods are finally delivered.

Disputes about an order, quotation, contract or shipment are resolved in these steps:

  • Direct discussion: Any dispute must first be raised with us in writing, using the contact details below, and both parties will then try in good faith to settle it between themselves within 30 days.
  • Mediation: If the dispute is still unresolved, both parties may agree to try mediation first, with an independent mediator they both accept, before either of them starts arbitration.
  • Arbitration: Any remaining dispute will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996 (India). Seat of arbitration: Surat, Gujarat, India. Language: English. Number of arbitrators: one, or three for disputes above USD 100,000. The award is final and binding on both parties.

The losing party pays the costs of the arbitration, unless the tribunal decides otherwise. Everything in these terms is subject to Surat jurisdiction. The courts of Surat, Gujarat alone hear every court matter, including any matter linked to the arbitration and any other dispute, such as one about the use of this website.

20

Changes to These Terms

How updates are communicated

We may update these Terms & Conditions from time to time, for example when our trade practice or the law changes, and the "Effective" date at the top shows the latest version. An update applies from the day it is published on this website, and if you keep using our website or services after that, you accept the new terms.

Each order stays under the terms that were in force on the date it became binding, so a later update to these terms never changes the terms of an order that has already been agreed between us.

21

Notices

How formal notices are sent

Any notice under these terms, such as a cancellation, a notice that your goods are ready or a notice of a dispute, must be given in writing. It may be sent by email or by courier to the addresses shown in your proforma invoice, and notices to us may also be sent to the contact details at the end of this page.

22

General

  • If part of this fails: If any part of these terms is found to be invalid or unenforceable by a court or tribunal, that part alone is treated as removed, and the rest of these terms continues in full force.
  • No waiver: If we do not enforce a term on one occasion, we may still enforce it at any later time.
  • Whole agreement: The proforma invoice or sales contract and these terms form our whole agreement. Nothing said in a call, an email or on this website changes it unless both parties agree in writing.
  • Transfer: You may not pass your rights or duties under a contract to anyone else without our written consent.
  • Language: These terms are written in English, and the English version governs.
  • Privacy: Our Privacy Policy explains how we collect, use and protect the personal data you share with us.
